Contributor Agreement

This Contributor Agreement ("Agreement") sets forth the terms and conditions under which you ("Contributor," "you," or "your") may submit and license content to Sacred Stock ("Company," "we," "our," or "us"). By submitting content to Sacred Stock, you agree to be bound by this Agreement.

1. Definitions

"Content" means any photos, graphics, videos, illustrations, or other visual media that you submit to Sacred Stock.
"Platform" means the Sacred Stock website, applications, and related services.
"User" means any person who downloads or uses Content from the Platform.
"Earnings" means the compensation you receive for downloads of your Content.

2. Eligibility

To become a Contributor, you must:

Be at least 18 years of age or the age of majority in your jurisdiction
Have the legal capacity to enter into this Agreement
Create a Contributor account on the Platform
Comply with all applicable laws and regulations
Own or have the necessary rights to license the Content you submit

3. Content Submission

3.1 Submission Process

You may submit Content to the Platform through our upload interface. All submissions are subject to review and approval by Sacred Stock. We reserve the right to accept or reject any Content at our sole discretion.

3.2 Technical Requirements

Submitted Content must meet our technical specifications, including:

Minimum resolution requirements
Acceptable file formats
Quality standards for sharpness, exposure, and composition
Proper metadata and keywords

3.3 Content Guidelines

Content must comply with our content guidelines, which prohibit:

Illegal, harmful, or offensive material
Content that infringes on third-party rights
Content depicting minors in inappropriate contexts
Spam, duplicates, or low-quality submissions
Content that violates privacy or publicity rights

4. License Grant

4.1 License to Sacred Stock

By submitting Content to Sacred Stock, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to:

Reproduce, display, distribute, and modify the Content
Sublicense the Content to Users under our standard license terms
Use the Content for marketing and promotional purposes
Create derivative works based on the Content
Store and backup the Content on our servers

4.2 Non-Exclusive Rights

This license is non-exclusive. You retain ownership of your Content and may continue to use, license, or sell it through other platforms and channels.

4.3 Model and Property Releases

For Content depicting identifiable people, you must obtain and provide valid model releases. For Content depicting private property, trademarks, or other protected elements, you must obtain and provide appropriate property releases. You are solely responsible for obtaining all necessary releases and permissions.

5. Representations and Warranties

By submitting Content, you represent and warrant that:

You are the sole creator and owner of the Content, or you have obtained all necessary rights and permissions to submit and license the Content
The Content does not infringe on any copyright, trademark, privacy, publicity, or other rights of any third party
The Content does not contain any defamatory, obscene, or illegal material
You have obtained all necessary model and property releases
All information you provide about the Content, including metadata and keywords, is accurate and complete
You have the legal authority to enter into this Agreement and grant the licenses described herein

6. Compensation

6.1 Earnings

You will earn compensation for each download of your Content by Users. The compensation rate is determined by Sacred Stock and may vary based on factors such as subscription plan, content type, and promotional activities.

6.2 Payment Schedule

Earnings are paid on a monthly basis, typically within 30 days after the end of each calendar month. Payments are made via the payment method you specify in your account settings.

6.3 Minimum Payout

Payments are issued when your accumulated earnings reach the minimum payout threshold. If your earnings do not meet the threshold, they will carry over to the following month.

6.4 Taxes

You are responsible for all taxes applicable to your earnings. Sacred Stock may be required to withhold taxes based on your jurisdiction. You must provide accurate tax information as requested.

7. Removal of Content

7.1 Removal by Contributor

You may request removal of your Content from the Platform at any time through your account settings. Removal requests will be processed within a reasonable time period. Note that Content already licensed to Users before removal may continue to be used under the terms of their license.

7.2 Removal by Sacred Stock

Sacred Stock reserves the right to remove any Content at any time, for any reason, including but not limited to:

Violation of this Agreement or our content guidelines
Infringement claims or legal concerns
Quality issues or technical problems
Low download performance
Changes in our business needs or policies

8. Indemnification

You agree to indemnify, defend, and hold harmless Sacred Stock, its officers, directors, employees, agents, and Users from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your breach of this Agreement
Your breach of any representation or warranty
Any claim that your Content infringes on third-party rights
Your negligence or willful misconduct

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SACRED STOCK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

SACRED STOCK'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL EARNINGS PAID TO YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Term and Termination

10.1 Term

This Agreement begins when you submit your first Content and continues until terminated by either party.

10.2 Termination by Contributor

You may terminate this Agreement at any time by providing written notice and removing all your Content from the Platform.

10.3 Termination by Sacred Stock

Sacred Stock may terminate this Agreement at any time, with or without cause, by providing written notice. We may also immediately suspend or terminate your account for violation of this Agreement.

10.4 Effect of Termination

Upon termination, your right to submit new Content will cease. Content already licensed to Users before termination may continue to be used under the terms of their license. Outstanding earnings will be paid according to our regular payment schedule.

11. Confidentiality

You agree to keep confidential any non-public information about Sacred Stock, including business strategies, technology, financial information, and any other proprietary information disclosed to you. This obligation survives termination of this Agreement.

12. Modifications

Sacred Stock reserves the right to modify this Agreement at any time. We will notify you of material changes by email or through the Platform. Your continued use of the Platform after any changes constitutes acceptance of the modified Agreement.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Sacred Stock operates. Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration body.

14. General Provisions

14.1 Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Sacred Stock regarding your participation as a Contributor.

14.2 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

The failure of Sacred Stock to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights under this Agreement without our prior written consent. Sacred Stock may assign this Agreement without restriction.

14.5 Independent Contractor

Nothing in this Agreement creates an employment, partnership, or agency relationship between you and Sacred Stock. You are an independent contractor and solely responsible for your own taxes, insurance, and business expenses.
