Welcome to Sacred Stock. These Terms of Service ("Terms") govern your access to and use of the Sacred Stock website, services, and applications (collectively, the "Service"). Please read these Terms carefully before using our Service.
By accessing or using Sacred Stock, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms
By creating an account, downloading content, or otherwise using Sacred Stock, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our Licensing Agreement. These documents together constitute the entire agreement between you and Sacred Stock.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to both you individually and the organization.
2. Description of Service
Sacred Stock is a digital content platform that provides access to high-quality photos, graphics, and videos ("Content") for personal and commercial use. Our Service includes:
- A searchable library of stock photos, graphics, and videos
- Subscription plans providing download credits
- A contributor platform for content creators
- User accounts and content management tools
- Collections and curation features
3. User Accounts
3.1 Account Creation
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify Sacred Stock of any unauthorized use of your account or any other breach of security. Sacred Stock will not be liable for any loss or damage arising from your failure to comply with this section.
3.3 Account Termination
Sacred Stock reserves the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may also delete your account at any time through your account settings.
4. Subscriptions and Payments
4.1 Subscription Plans
Sacred Stock offers various subscription plans that provide access to download Content. Each plan includes a specified number of downloads per month and may include additional features. Details of current plans are available on our pricing page.
4.2 Billing
Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. Payment is due at the time of subscription and on each renewal date. All fees are non-refundable except as expressly stated in these Terms.
4.3 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period.
4.4 Price Changes
Sacred Stock reserves the right to change subscription prices at any time. Price changes will be communicated to existing subscribers at least 30 days before taking effect. Continued use of the Service after a price change constitutes acceptance of the new price.
4.5 Download Credits
Download credits may or may not roll over to the next billing period, depending on your subscription plan. Unused credits have no cash value and cannot be transferred or refunded.
5. Content Usage
5.1 License Grant
Downloaded Content is subject to the Sacred Stock License Agreement. By downloading Content, you agree to comply with all terms and restrictions outlined in that agreement.
5.2 Prohibited Uses
You may not use the Service or any Content in any way that:
- Violates any applicable law or regulation
- Infringes on the rights of any third party
- Is fraudulent, misleading, or deceptive
- Promotes illegal activities or harm to others
- Contains viruses, malware, or other harmful code
- Interferes with the operation of the Service
- Attempts to gain unauthorized access to the Service or its systems
6. Contributor Terms
6.1 Content Submission
Contributors may submit Content to Sacred Stock for inclusion in our library. By submitting Content, you grant Sacred Stock a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and display the Content in connection with the Service.
6.2 Content Requirements
Submitted Content must meet our quality standards and content guidelines. Sacred Stock reserves the right to reject or remove any Content at its sole discretion.
6.3 Ownership and Rights
You represent and warrant that you own or have the necessary rights to submit the Content and that the Content does not infringe on any third-party rights, including copyrights, trademarks, privacy rights, or publicity rights.
6.4 Contributor Compensation
Contributors may be eligible for compensation based on downloads of their Content. Compensation rates and payment terms are outlined in the Contributor Agreement.
7. Intellectual Property
7.1 Sacred Stock Property
The Service, including its design, features, functionality, and all related intellectual property, is owned by Sacred Stock and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.
7.2 User Content
You retain ownership of any content you create or upload to the Service (excluding Content submitted as a contributor). By posting user content, you grant Sacred Stock a license to use, display, and distribute such content in connection with the Service.
8. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.
9. Disclaimers
9.1 Service Availability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SACRED STOCK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9.2 Content Accuracy
SACRED STOCK DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT AVAILABLE THROUGH THE SERVICE. ANY RELIANCE ON SUCH CONTENT IS AT YOUR OWN RISK.
9.3 Third-Party Links
The Service may contain links to third-party websites or services. Sacred Stock is not responsible for the content, policies, or practices of any third-party sites.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SACRED STOCK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.
IN NO EVENT SHALL SACRED STOCK'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO SACRED STOCK IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Sacred Stock and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sacred Stock operates, without regard to its conflict of law provisions.
12.2 Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of a recognized arbitration body. The arbitration shall be conducted in the English language.
12.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or other representative proceeding.
13. General Provisions
13.1 Entire Agreement
These Terms, together with the Privacy Policy and Licensing Agreement, constitute the entire agreement between you and Sacred Stock regarding the Service.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
13.3 Waiver
The failure of Sacred Stock to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. Sacred Stock may assign these Terms without restriction.
13.5 Modifications
Sacred Stock reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or by other means. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
